Acceptance of Terms

By accessing our website (e50ads.com), placing an order, or submitting any information, you agree to these Terms & Conditions. If you do not agree with these terms, please do not use our services.

E50ADS PROVIDES THE SERVICES AND SOFTWARE SOLELY ON THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT AND ON THE CONDITION THAT YOU ACCEPT AND COMPLY WITH THEM. BY EITHER SIGNING A SERVICE AGREEMENT/SERVICE ORDER OR BY CHECKING THE "ACCEPT" BOX ON THE SIGNUP ORDER FORM YOU (A) ACCEPT THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS; AND (B) REPRESENT AND WARRANT THAT: (I) YOU ARE 18 YEARS OF AGE OR OLDER/OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; AND (II) IF CLIENT IS A CORPORATION, GOVERNMENTAL ORGANIZATION, OR OTHER LEGAL ENTITY, YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF CLIENT AND BIND CLIENT TO ITS TERMS. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU MUST NOT ACCESS OR USE THE SERVICES OR SOFTWARE.

PLEASE REVIEW THIS AGREEMENT CAREFULLY. BY ACCEPTING THESE TERMS, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, WHICH CONTAIN, AMONG OTHER PROVISIONS, DISPUTE RESOLUTION PROVISIONS, A WAIVER OF CLASS-ACTION RIGHTS AND LIMITATIONS OF LIABILITY. UNLESS OTHERWISE EXPRESSLY STATED, E50ADS DISCLAIMS ANY AND ALL WARRANTIES WHETHER PROVIDED BY E50ADS LLC, ITS AFFILIATES, OR ITS RESPECTIVE EMPLOYEES AND AGENTS.

Terms of Service

The Service Agreement, Service Order, and/or Online Order Form, together with these Terms of Service, the E50Ads Privacy Policy located at https://e50ads.com/privacy-policy, the E50Ads Payments Terms of Service, which governs all use of E50Ads Payments and related services, located at this agreement (the "Payment Terms"), and any other ancillary documents incorporated by reference in these Terms of Service constitute the entire agreement between the Parties. E50Ads limits acceptance of these agreements and objects to any additional or different terms in the Client’s acceptance.

Grant of Rights and Access

• You hereby grant E50ADS LLC full authorization to access and manage any social media profiles or third-party accounts (including, but not limited to, Google, Facebook, TikTok, Twitter, Apple, Spotify, Microsoft) that you designate, solely for the purpose of delivering our services.
• By providing access, you expressly acknowledge and agree that any modifications, optimizations, or actions taken by E50ADS LLC on your behalf are deemed approved by you, and you waive any right to later dispute or revoke such actions.

Client Responsibilities

• You confirm that all information provided to E50ADS LLC is accurate and complete.
• You understand and agree that by ordering our services or providing your business information, you are granting us full and irrevocable permission to manage your designated accounts as described herein.

Limitation of Liability

• Under no circumstances shall E50ADS LLC be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of our services, including any modifications made to your accounts.
• You agree not to initiate or pursue any legal action against E50ADS LLC related to the services provided under these Terms & Conditions.

Indemnification

You agree to indemnify and hold harmless E50ADS LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your breach of these Terms & Conditions or your use of our services.

Governing Law and Jurisdiction

• These Terms & Conditions shall be governed by and construed in accordance with the laws of the United States and applicable international laws.
• Any disputes arising out of these Terms shall be exclusively resolved in the appropriate federal or state courts located in New Jersey, USA.

Entire Agreement

These documents constitute the entire agreement between you and E50ADS LLC regarding the subject matter herein and supersede all prior agreements, understandings, or representations.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Force Majeure

E50ADS LLC shall not be liable for any failure to perform its obligations due to causes beyond its reasonable control, including but not limited to acts of nature, governmental actions, or other unforeseen events.

Customer Consent and Acknowledgement

By placing an order or providing any business information, you confirm that you fully understand and agree to these Terms & Conditions, including the granting of account access and the waiver of any right to contest actions performed by E50ADS LLC.

No Right to Contest

You acknowledge that by engaging our services, you irrevocably waive any right to challenge, dispute, or revoke the access granted to E50ADS LLC, ensuring complete compliance with our service provisions.

Amendments

E50ADS LLC reserves the right to amend these Terms & Conditions at any time. Continued use of our services after any amendments constitutes your acceptance of the updated terms.
